Consulting agreement template for Australian consultants
Advise a client on terms that keep your methods yours and your liability capped.

What this document does
This agreement is built for the consultant who gives advice, not the maker who builds a thing. It makes clear you provide professional advice and the client owns its own decisions, so you are not on the hook for the results they get. Your frameworks and models stay your Background IP; only the client-specific work product passes, and only once you are paid in full. You pick from four fee models, answer plain questions, and download it ready to sign.

Questions people ask.
Still not sure this is the one? Describe your situation and we’ll tell you what you need, or when you need a real lawyer.
No jargon, no upsell.
- Does it stop me being liable for the client's results?
- It draws the line clearly: you give advice with due care and skill, and the client owns whether and how to act on it. You do not guarantee a commercial outcome or saving. The wording is calibrated to sit inside the Australian Consumer Law, which you cannot contract out of, so it holds up rather than being struck down as an unfair exclusion.
- Do I keep my frameworks and models?
- Yes. Your methodologies, models and know-how stay your Background IP. Only the client-specific work product, the report or analysis, assigns or is licensed to the client, and only once all fees are paid. You choose assignment or licence in the form.
- Which fee model should I pick?
- The agreement supports fixed fee, hourly or daily, retainer, and milestone. The clause set changes to match. If you bill by time as a sole trader, the guidance after you buy flags the tax and contractor-status points to watch.
- Is professional indemnity insurance required?
- The agreement lets you state the insurance you carry, and professional indemnity is the main cover for advisory work. If you are in a regulated profession, your scheme's minimum applies. You can also turn the insurance statement off if you would rather keep it to your own discretion.
- Is this a subscription?
- No. It is $49 once. No monthly fee, no auto-renewal. You buy the document and reuse it for your next client.
