- Should I use a mutual or one-way NDA?
- Use one-way when only you are sharing something confidential, for example when you brief a freelancer. Use mutual when both sides are exchanging sensitive information, for example two businesses exploring a partnership.
- How long does an NDA last?
- You set the term in the form. Two to five years is common for commercial information; trade secrets are often kept confidential indefinitely. The agreement lets you choose.
- Is an NDA enforceable in Australia?
- Yes, a well-drafted NDA is enforceable. It helps to be specific about what is confidential, because a vague NDA covering everything is harder to enforce than one that names what matters.
- Can I use this before pitching to investors?
- You can, though be aware many investors decline to sign one at the pitch stage. It is better suited to sharing detailed information after initial interest, or with suppliers, contractors and staff.
